Terms of Service

Please read these terms carefully. By creating an account or using Prospera, you agree to be bound by these Terms of Service. If you do not agree, do not use the service.

1. Acceptance of terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Prospera Budget, LLC ("Prospera," "we," "us," or "our") governing your access to and use of the Prospera application and website (collectively, the "Service"). By registering for an account, clicking "Create account," or otherwise using the Service, you confirm that you are at least 13 years of age, have read and understood these Terms, and agree to be bound by them.

2. Description of service

Prospera is a personal budgeting application that helps individuals and households track spending, manage budgets, set savings goals, and monitor their financial health. The Service is available in two tiers:

3. Account registration

To use Prospera, you must create an account with a valid email address and a secure password, or authenticate via Google OAuth. You agree to:

You may not create accounts for others without their consent, impersonate another person, or use automated means to create accounts.

4. Prospera Plus subscription

4.1 Trial period

New Prospera Plus subscriptions include a 7-day free trial. Your payment method is required at signup but will not be charged until the trial ends. You may cancel at any time during the trial without charge.

4.2 Billing

After the trial period, Prospera Plus is billed at $9.99 per month. Your subscription automatically renews each month on your billing date. By subscribing, you authorize Prospera Budget, LLC to charge your payment method on a recurring monthly basis until you cancel.

4.3 Cancellation

You may cancel your Prospera Plus subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period — you retain Plus access until then and will not be charged again. We do not offer prorated refunds for partial months.

4.4 Payment failures

If a payment fails, we will retry the charge and notify you by email. If payment cannot be collected within the grace period, your account will be downgraded to the free plan. Your data will be retained and accessible on the free plan.

4.5 Price changes

We may change the price of Prospera Plus with at least 30 days' advance notice by email. Continued use after the price change takes effect constitutes your acceptance of the new price.

4.6 Refunds

All subscription fees are non-refundable except where required by applicable law. If you believe you were charged in error, contact us at [email protected] within 30 days of the charge.

You agree to use Prospera only for lawful personal financial management purposes. You may not:

You retain full ownership of all financial data, transactions, and content you enter into Prospera ("Your Content"). By using the Service, you grant Prospera Budget, LLC a limited, non-exclusive license to store, process, and display Your Content solely as necessary to provide the Service to you.

You are responsible for the accuracy of the data you enter. Prospera is a budgeting tool, not a financial advisor. We do not verify the accuracy of imported or entered financial data.

7. Third-party services

Prospera integrates with third-party services including Plaid (bank linking), Stripe (payments), and Google (authentication). Your use of these services is subject to their respective terms of service and privacy policies. Prospera is not responsible for the practices or content of third-party services.

Bank account linking via Plaid is a Prospera Plus feature. By connecting a bank account, you authorize Prospera to retrieve your transaction history, account balances, and related financial data through Plaid. You may disconnect your bank account at any time from Settings → Banks.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION.

Prospera does not warrant that the Service will be available at all times, that data will never be lost, or that the financial information displayed is accurate or suitable for making financial decisions. Prospera is a personal budgeting tool and is not a financial advisor, broker, or fiduciary.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROSPERA BUDGET, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PROSPERA'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PROSPERA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

10. Indemnification

You agree to indemnify, defend, and hold harmless Prospera Budget, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may delete your account at any time from Settings → Data → Delete account. Upon deletion, your personal data will be permanently removed within 30 days.

We may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive behavior, or if we are required to do so by law. We will provide notice where reasonably practicable. Upon termination, your right to use the Service ceases immediately.

12. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in Colorado, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or prominent in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
